1. Private Offerings
AASTHI facilitates private investment offerings that are not registered with any securities regulator as public offerings. These are made available only to eligible, KYC-verified investors. Nothing on this website constitutes a public offering or solicitation.
2. KYC and Eligibility
Access to offering materials requires completion of Know Your Customer (KYC) verification and investor eligibility review. Eligibility criteria vary by offering and jurisdiction. AASTHI reserves the right to deny access to any applicant.
3. SPV-Based Structures
Many offerings are organized through Special Purpose Vehicles (SPVs). Each offering discloses its specific legal structure, issuer entity, jurisdiction of formation, and investment mechanics in the offering-specific documentation.
4. Reg D / GIFT City / IFSCA Where Applicable
Depending on the offering and investor jurisdiction, offerings may be structured under Regulation D (Rule 506(b) or 506(c)), may be structured through GIFT City / IFSCA-regulated entities, or under other applicable private placement frameworks. Each offering specifies its regulatory basis in its own documents. Aasthi is preparing an application under the IFSCA FinTech Regulatory Sandbox (GIFT City); no approval has been granted.
5. Offering-Specific Disclosures
Each investment opportunity includes offering-specific documentation covering risk factors, use of proceeds, issuer background, SPV structure, projected returns (if any), fees, and investor eligibility. Investors are required to review and acknowledge these documents before investing.
6. No Guaranteed Returns
No investment on this platform offers guaranteed returns. Any projected, targeted, or illustrative return figures are not promises or guarantees. Past performance is not indicative of future results. All investments involve risk, including possible loss of all invested capital.
